MFA submitted a comment letter todayto the SEC on its proposal to implement amendments to the Advisers Act contained in Title IV of the Dodd-Frank Act. In our letter, we recommend, among other things, that: (i) the SEC provide additional guidance to ensure that the activities of unregistered private fund managers that must register with the SEC are not disrupted; (ii) an investment advisers assets under management continue to represent its net assets, and that advisers have sufficient flexibility in calculating their assets under management; and (iii) sensitive information about a private fund and its manager reported on Form ADV is provided only to the SEC.
