Investment Company Act of 1940

a United States federal law created to regulate investment companies. Hedge Funds of all types generally fall within the definition of investment company under the act, but Hedge Funds are typically exempt from registration as an investment company pursuant to Section 3(c)(1) or Section 3(c)(7) thereof; however, most Private Funds such as Hedge Funds and Private Equity Funds are exempt from registration under the Investment Company Act pursuant to Section 3(c)(1) or Section 3(c)(7).
