Change of Control

a material change in the ownership or control of a company (such as a material change in the makeup of its board of directors). Definitions vary. See Change of Control Covenant, Change of Control Default and Change of Control Put. For purposes of the Advisers Act, a transaction that does not result in a change of actual control or management of an Investment Adviser is not deemed an Assignment for purposes of Section 205(a)(2) of the Advisers Act.
